Terms of Service

1. Acceptance of Terms
By accessing the website at https://www.bluetaip.com ("Site") or purchasing any services ("Services") from Bluetaip LLC, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you are prohibited from using this Site or our Services.
2. Description of Services
Bluetaip provides digital marketing services for home service professionals through three primary tiers: Essentials ($499), Professional ($699), and Market Leader ($999). Scope includes Google Business Profile (GBP) management, Website maintenance, Call attribution, and automated reporting.
Scope Limitations: Services outside the specific tier purchased (e.g., custom Velo coding, extensive graphic design, or separate ad spend) require a separate agreement.

3. Payments and Billing
Recurring Billing: Services are billed every 30 days.
The "Pause Billing" Provision: In the event the Performance Guarantee (Section 4) is not met for eligible plans, the subsequent month’s management fee will be paused until the lead floor is achieved.

4. Performance Guarantee & Lead Qualification
The Guarantee: Bluetaip guarantees a minimum of ten (10) Qualified Leads per 30-day billing cycle for the Professional plan and fifteen (15) Qualified Leads for the Market Leader plan.
Ramp-Up Period: This guarantee takes effect starting on the first day of the third full month (Month 3) of continuous service. This allows for initial SEO indexing, citation synchronization, and website optimization.
Definition of a "Qualified Lead": A lead is defined as a unique inquiry from a potential customer via:
Phone Calls: Phone Call tracking must be enabled.
Website Form Submissions: Inquiries sent through the official website contact forms.
Qualification Criteria: To be counted toward the monthly guarantee, the inquiry must be:
Unique: Not a duplicate entry, existing customer, or solicitor.
High-Intent: Seeking a service the Client provides within their designated service area.
Remedy for Under-Performance: If the lead floor is not met starting in Month 3, Bluetaip will pause the following month's management fee. We will continue all marketing and optimization efforts at no cost to the Client until the lead floor for the previous month is satisfied.
5. Cancellation and Termination
Month-to-Month: There are no long-term contracts. You are free to cancel at any time.
Notice Period: To cancel services, you must provide written notice (via email to support@bluetaip.com) 30 days prior to your next billing cycle.
Service Termination: Upon cancellation, access to the Bluetaip Ecosystem will be deactivated at the end of the final paid billing cycle.
Asset Buyout (The "Exit Fee"): If the Client wishes to retain ownership and "port out" the website and associated assets, a one-time Asset Transfer Fee of $2,500 is required. Upon payment:
Website ownership will be transferred to the Client’s personal account.
The Client assumes all future costs for hosting, third-party tools, and maintenance.
Bluetaip will release the call tracking numbers to the Client’s own account.

6. Intellectual Property
Client Assets: You retain ownership of your business name, logo, and existing customer data.
Bluetaip Proprietary Assets: Bluetaip retains all rights and ownership of the website design, "Town Page" structures, SEO templates, and automated workflows developed within the environment. These are provided to the Client under a Limited Usage License for the duration of the active service agreement. Ownership only transfers upon the execution of an Asset Buyout as defined in Section 5.
7. Third-Party Tools
We utilize third-party tools. We are not liable for service outages, data breaches, or policy changes enacted by these third-party platforms.
8. Limitation of Liability
In no event shall Bluetaip LLC, its directors, or employees be liable for any indirect, consequential, or special damages (including loss of revenue or data) arising out of your use of our services. Our total liability shall not exceed the amount paid by you to Bluetaip during the one (1) month prior to the incident.
9. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Utah.
