BLUETAIP — TERMS OF SERVICE

These Terms of Service ("Terms") govern the agreement between Bluetaip ("Bluetaip," "we," "us," or "our") and the client ("Client," "you," or "your") who engages our digital marketing services. By signing up for a plan, submitting payment, or otherwise using our services, you agree to be bound by these Terms.
1. OVERVIEW OF SERVICES
Bluetaip is a digital marketing agency that works exclusively with home service professionals. Our services may include, depending on your selected plan and scope of work: local search engine optimization (SEO), Google Business Profile setup and optimization, website design and development, AI-powered lead capture and missed-call text-back systems, call and lead tracking, review generation and reputation management, content marketing, paid advertising and lead generation, social media management, and performance reporting. The specific deliverables included in your engagement are defined by the plan you select (Starter, Growth, or Authority) and any custom scope agreed upon in writing during onboarding.
2. ENGAGEMENT TERM AND MONTH-TO-MONTH BILLING
Bluetaip does not require long-term contracts. Services are provided on a flexible, month-to-month basis. Each billing cycle is one (1) calendar month, charged in advance. Your engagement automatically renews each month until cancelled in accordance with Section 3. While there is no long-term contract requiring you to remain a client, certain ownership and asset-transfer rights are conditioned upon the completion of an initial six (6) month payment period, as described in Section 6. This reflects the reality that digital marketing is a long-term investment, and meaningful, sustainable results typically take up to six months to materialize.
3. CANCELLATION
You may cancel your engagement at any time. To cancel, you must provide written notice to Support@bluetaip.com. Cancellation will take effect at the end of your current paid billing cycle. We do not provide prorated refunds for partial months, and all fees already paid are non-refundable except where required by law. Upon cancellation, Bluetaip will cease all active work, campaigns, and recurring services at the close of the paid period. Any third-party accounts, subscriptions, or ad spend arrangements set up on your behalf may be paused or transferred at our discretion, subject to the asset-ownership provisions in Section 6.
4. FEES AND PAYMENT
Our plans are billed monthly as follows, unless a custom quote has been agreed upon in writing: Starter — $600 per month; Growth — $900 per month; Authority — $1,300 per month. Custom engagements and additional services outside of a standard plan will be quoted separately and transparently before work begins, with no hidden fees. All fees are due in advance of each billing cycle. Payment is processed via the payment method on file, and you authorize Bluetaip to charge that method on a recurring monthly basis until cancellation. Third-party costs — including but not limited to paid advertising spend, premium software, hosting, domain registration, stock media, or other pass-through expenses — are separate from and in addition to Bluetaip's service fees, unless expressly stated otherwise in your plan. Advertising budgets are set in collaboration with you and are billed at cost. Late or failed payments may result in suspension of services. Bluetaip reserves the right to pause work, disable deliverables, or restrict access to in-progress assets until outstanding balances are paid in full.
5. CLIENT RESPONSIBILITIES
To deliver effective results, we require your cooperation. You agree to provide accurate and complete business information during onboarding; supply timely access to necessary accounts and platforms (such as your domain registrar, website hosting, Google Business Profile, and advertising accounts) as needed; review and approve deliverables, creative, and strategy within a reasonable timeframe so that timelines are not delayed; and ensure that any materials you provide to us do not infringe upon the intellectual property or other rights of any third party. While Bluetaip handles the day-to-day execution, your timely input, reviews, and approvals are essential to keeping your campaigns on schedule.
6. OWNERSHIP OF WEBSITE AND ASSETS
Asset ownership transfers to the Client only after the full six (6) month payment period has been completed. During the first six months of your engagement, all websites, web pages, landing pages, designs, content, code, configurations, campaign structures, and other deliverables created or managed by Bluetaip (collectively, the "Assets") remain the sole and exclusive property of Bluetaip. The Assets are licensed to you for use solely in connection with your active, paid engagement during this period. You do not retain or own any of the Assets, and you may not copy, transfer, resell, or migrate them, until the six-month payment obligation has been fully satisfied. Once you have completed six (6) months of paid service in good standing — meaning all monthly fees for that period have been paid in full and no balance is outstanding — ownership of the website and all associated Assets transfers to you, and they become yours to keep, even if you subsequently cancel. If you cancel or your engagement terminates before the completion of the six-month payment period for any reason, you forfeit any claim to ownership of the Assets, and Bluetaip retains all rights to them. In such cases, Bluetaip may, at its sole discretion, deactivate, retain, or repurpose the Assets. Certain third-party properties that inherently belong to you — such as a domain name you personally registered or your own Google Business Profile — remain yours regardless of the six-month period, though work product and configurations built by Bluetaip remain subject to this Section.
7. PERFORMANCE, RESULTS, AND NO GUARANTEES
Digital marketing is a long-term investment. While we are confident in our methods and focus on building sustainable, lasting growth, results vary based on your industry, level of competition, geographic market, starting position, and other factors outside our control. It typically takes up to six months to see meaningful results. Bluetaip does not and cannot guarantee specific outcomes, including but not limited to particular search engine rankings, lead volumes, call volumes, conversion rates, revenue, or return on investment. Any case studies, statistics, or examples of past client results are illustrative of prior performance and are not a promise or guarantee of future results for your business. Search engines, advertising platforms, and other third parties control their own algorithms and policies, and changes to those systems may affect performance independent of our efforts.
8. REPORTING AND COMMUNICATION
Bluetaip provides regular, easy-to-understand performance reporting appropriate to your plan, tracking the metrics that matter to your business. You will have a dedicated point of contact who is familiar with your account and available to answer questions throughout the partnership. Communication is conducted primarily by email, phone, and scheduled calls as outlined in your plan.
9. THIRD-PARTY PLATFORMS AND SERVICES
Our services rely on third-party platforms, including but not limited to Google, advertising networks, hosting providers, and software vendors. Your use of those platforms is subject to their respective terms of service and policies. Bluetaip is not responsible for outages, account suspensions, policy changes, price changes, or other actions taken by these third parties. You authorize Bluetaip to act on your behalf in managing these platforms as reasonably necessary to perform the services.
10. INTELLECTUAL PROPERTY AND LICENSE TO USE CLIENT MATERIALS
You grant Bluetaip a non-exclusive license to use your business name, logos, trademarks, content, and other materials solely for the purpose of providing the services. You also grant Bluetaip permission to reference your business and display results, creative, and case studies in our marketing and portfolio, unless you opt out in writing by contacting Support@bluetaip.com. Subject to Section 6, all proprietary tools, systems, processes, software, templates, and methodologies that Bluetaip uses to deliver the services remain the exclusive property of Bluetaip and are not transferred to you, even after the six-month period.
11. CONFIDENTIALITY
Each party agrees to keep confidential any non-public business information disclosed by the other party in the course of the engagement and to use such information only for the purpose of performing under these Terms.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Bluetaip's total aggregate liability arising out of or relating to these Terms or the services shall not exceed the total fees paid by you to Bluetaip in the three (3) months immediately preceding the event giving rise to the claim. In no event shall Bluetaip be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost business, or loss of goodwill, even if advised of the possibility of such damages. The services are provided "as is" and "as available," without warranties of any kind, whether express or implied.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Bluetaip and its owners, employees, and contractors from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your business operations, the materials you provide, your violation of these Terms, or your violation of any law or third-party right.
14. TERMINATION BY BLUETAIP
Bluetaip reserves the right to suspend or terminate the engagement at any time, including for non-payment, violation of these Terms, abusive conduct, or if continuing the engagement would require us to violate any law or third-party platform policy. Where reasonable, we will provide notice and an opportunity to cure.
15. CHANGES TO THESE TERMS
Bluetaip may update these Terms from time to time. We will provide notice of material changes by email or by posting the updated Terms on our website. Your continued use of the services after such changes constitutes acceptance of the revised Terms.
16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Utah, and both parties consent to the jurisdiction of those courts. The parties agree to attempt in good faith to resolve any dispute through informal negotiation before pursuing formal legal action.
17. ENTIRE AGREEMENT
These Terms, together with your selected plan and any written scope of work or proposal, constitute the entire agreement between you and Bluetaip and supersede any prior agreements or understandings, whether written or oral.
